General Terms of Use

1. Introduction
Welcome to Konna. These Terms of Use (“Terms”) apply to all visitors, users, and account holders (“you” or “your”) and Konna Technologies Ltd (doing business as “Konna”) and all its affiliates (collectively referred to in these Terms as “Konna”, “we”, “our”, or “us”). They govern how you access and use the Konna website, mobile application, or service (collectively, the “Platform”).
By visiting, browsing, creating an account, or using any part of the Konna Platform, you agree to be bound by these Terms, together with our Privacy Notice and any other policies or agreements expressly incorporated here. If you do not agree, you must stop using the Platform immediately.
Konna provides online tools that help individuals and businesses manage sales, payments, inventory, and customer relationships. Konna is a technology provider. We make it easier for users to build and manage their digital business presence, but we do not act as a buyer, seller, agent, or representative in your commercial transactions.
These Terms apply to:
- Visitors browsing the Konna website or mobile app;
- Individuals or businesses who register for a Konna account; and
- Any person who interacts with Konna services, whether as a merchant, team member, customer, or other end user.
Additional terms may apply to specific products (e.g., Merchant Terms, Konnadex Payment Gateway Terms). If there is a conflict, the specific product terms take precedence.
We may update these Terms from time to time. Continued use of the Platform after updates means you accept the revised Terms.
2. Definitions
“Account” means the personal or business profile you create to access Konna Services.
“Customer” means any person who interacts with or purchases from a merchant using Konna tools.
“Merchant” means any individual or business that registers on Konna to sell products, issue invoices, or accept payments.
“Platform” or “Services” refers to all tools, software, and features provided by Konna.
“Privacy Notice” explains how Konna collects and handles personal information.
“User Content” means data or materials provided by a user on or through the Platform.
“We,” “us,” or “our” refers to Konna Technologies Ltd.
3. Eligibility and Account Registration
To use the Konna Platform, you must be at least 18 years old or otherwise legally capable of entering a binding agreement under Nigerian law. If creating an account for a business, you must have authority to bind the organization.
You agree to provide accurate information, keep your details up to date, and protect your login credentials. You are fully responsible for all activity under your account.
Only one active account is allowed per business or individual unless otherwise approved.
4. Our Services
Konna provides cloud-based business tools including online store creation, catalog management, invoicing, payments (via Flutterwave, Paystack, and Konnadex Payment Gateway), customer management, and analytics.
Features may change or require subscription, verification, or legal compliance. Use of Konna is subject to any additional terms within the Platform.
5. Using the Platform Responsibly
You agree not to misuse or harm the Platform, including:
- Breaking any law or regulation
- Fraud, harassment, or misleading actions
- Hacking or unauthorized access
- Sending malware, spam, or automated scripts
- Reverse-engineering Konna systems
If you violate these rules, we may suspend or terminate your account and report misconduct where required.
6. How We Manage Your Data
By using Konna, you agree to the collection and processing of your data as described in our Privacy Notice. You warrant that all information provided is accurate.
7. Intellectual Property (IP)
All rights to the Platform belong to Konna or its licensors. You receive a limited licence to use the Platform but may not copy, reverse-engineer, or commercialize any part of Konna.
You retain ownership of content you upload but grant Konna a license to use it for platform operation and improvement.

8. Service Availability and Maintenance
The Platform is provided “as is” and we cannot guarantee uninterrupted service. Scheduled maintenance, third-party failures, or technical issues may affect availability.

9. Limitation of Liability and Disclaimers
9.1 Use at Your Own Risk
Konna is provided without warranties. You accept that errors, downtime, or delays may occur.
9.2 Limits on Liability
Konna is not liable for indirect or consequential damages. Total liability is limited to transaction fees paid in the last 3 months or ₦100,000.
9.3 Third-Party Failures
Konna integrates with external partners and is not responsible for their outages or processing errors.
9.6 No Liability for Merchant Defaults
Konna is not responsible for merchant behavior, product quality, delivery, or disputes.
9.7 Payment Defaults
Payments are processed by Flutterwave, Paystack, and Konnadex Payment Gateway. Konna is not liable for delays, chargebacks, or settlement failures.
9.8 Indemnification
You agree to indemnify Konna against damages resulting from your breach of responsibilities.
10. Service Suspension and Termination
We may suspend or terminate your access for any breach or at our discretion. Certain clauses survive termination.
11. Dispute Resolution
11.1 Informal Complaint Process

11.2 Mediation
If unresolved, disputes proceed to mediation under Nigerian law.
11.3 Binding Arbitration
If mediation fails, disputes go to binding arbitration under the Arbitration and Mediation Act, 2023.
11.4 Confidentiality
All dispute processes are confidential.
11.5 Class Action Waiver
You agree disputes are resolved individually, not via class actions.
12. Modifications to the Terms
We may update these Terms anytime. Continued use means acceptance.
Check the “Last Updated” date to stay informed of revisions.
13. Miscellaneous Provisions
Entire Agreement: These Terms and the Privacy Notice form the complete contract.
No Waiver: Failure to enforce any term does not waive future enforcement.
Severability: Invalid sections are replaced with enforceable interpretations.
Assignment: You may not transfer your rights; Konna may assign freely.
Force Majeure: We aren’t liable for events outside our control.
Relationship: No partnership or employment relationship is created.
Governing Law: Nigerian law applies.
